Terms of service

The short version. Use Naute for lawful things. Your library belongs to you. We'll run the service carefully but make no warranty it's perfect. If a dispute arises, we'll try to resolve it like adults.

These terms ("Terms") govern your use of Naute — the desktop app, web client, command-line tool, MCP server, marketing website, and any related services (together, the "Service") operated by Naute ("we", "us", "our"). By using the Service you agree to these Terms.

1. Accounts

  • You must be at least 13 years old (16 in the EEA) to create an account.
  • You're responsible for keeping your credentials secure and for everything that happens under your account.
  • Contact us immediately if you believe your account has been compromised.

2. Early access

While Naute is in early access, the Service is provided as-is and may change without notice. Features may be added, altered, or removed, and availability guarantees are best-effort during this period. Because your library lives on your disk, local operation is unaffected by changes on our servers.

3. Your content

  • You own everything you put into Naute. Always.
  • You grant us the minimum license needed to store, sync, and display your content to you and to anyone you explicitly share it with. That license ends when you delete the content or close your account.
  • You're responsible for the content you create — that it's lawful, that you have the rights you claim to have, and that it doesn't violate anyone else's rights.

4. Acceptable use

You agree not to use the Service to:

  • Do anything illegal or infringe on anyone's rights.
  • Send spam, phishing, or malicious content — including through share links.
  • Reverse-engineer, attack, overwhelm, or probe the Service in ways that degrade it for others.
  • Resell, sublicense, or white-label the Service without our written consent.
  • Use the Service to train AI models or build competing products from our data.

5. Payment

  • Paid plans are billed in advance, monthly or annually.
  • Prices are listed on naute.ai/pricing. We may change them with at least 30 days' notice; existing paid terms are honored until the end of your current billing period.
  • Refunds are prorated on cancellation. Taxes are your responsibility.

6. Cancellation and data export

You can cancel any time from your account settings. Because your library lives on your disk, cancellation doesn't require a migration — the files are already yours. We'll delete your account data within 30 days of cancellation, subject to the retention periods in our Privacy Policy.

7. Intellectual property

The Service itself (code, design, brand, documentation) is ours or licensed to us. We grant you a limited, non-exclusive, non-transferable license to use it for its intended purpose. Nothing here transfers those rights to you beyond that license.

8. AI output

AI features generate text, suggestions, and transformations based on the context we pass to a model. Output may be inaccurate, biased, or inappropriate. Review before relying on it. You own the AI output produced from your content; you're also responsible for how you use it.

9. Third-party services

The Service interoperates with third-party AI providers (via MCP and in-app actions), payment processors, and email providers. Their terms apply to their portion of the interaction. We're not responsible for the availability or behavior of third-party services.

10. Warranties and disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that the Service will be uninterrupted, error-free, or entirely secure. Back up your library — it's on your disk, which makes that easy.

11. Limitation of liability

To the maximum extent permitted by law, our aggregate liability for any claim arising out of these Terms or the Service is limited to the amount you paid us in the 12 months before the claim, or $100, whichever is greater. We're not liable for indirect, incidental, special, consequential, or exemplary damages.

12. Indemnification

You agree to defend and indemnify us from third-party claims arising from your content or your use of the Service in violation of these Terms.

13. Termination

We may suspend or terminate your account for material breach of these Terms (e.g. violating acceptable use), with reasonable notice except where not feasible. You may terminate at any time from your settings.

14. Changes to these Terms

We may update these Terms. If changes are material, we'll notify account holders at least 14 days before they take effect. Continued use after the effective date means you accept the new Terms.

15. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction there. If you're a consumer in the EU or UK, nothing here overrides your mandatory local consumer protections.
